Ruby's Diner, Inc, a California corporation (the
Company), intends to sell or issue 8.5% unsecured
promissory notes to qualified investors.
A summary of the issue follows:
Name of
issuer: Ruby's Diner, Inc.
Title
of Security: 8.5% Unsecured Notes due
[36 months from the date of issuance] (the "Notes").
The
Company owns and operates, directly or through
limited partnerships, full service, family oriented
restaurants featuring both traditional and contemporary
menu items in an atmosphere designed to capture
the sights, sounds and aromas of an authentic 1940's
diner. The Company's 17 restaurants are located
throughout Southern California. An Affiliate of
the Company, Ruby's Franchise System, Inc ("RFS")
also operates a number of Ruby's Diner franchises
in several different states. RFS is not involved
with the issuance of the Notes.
The Company intends
to offer and sell the Notes in denominations of $10,000,
up to an aggregate amount of Notes equal to $2 million
dollars. The Notes will be for a three-year term
at an interest rate of 8% per annum with interest
payable monthly. At the end of the three-year term,
the investors may be offered the option to renew
the Note or have the Note repaid in full, at the
discretion of the investor.
All prospective purchasers
of the Notes must be California residents and must
be accredited investors as that term is defined
in Rule 501 promulgated under the Securities Act
of 1933, as amended. Generally, all individual
purchasers must have a net worth of at least $1
million or have earned for the past two years,
and expect to earn this year, at least $200,000
each year.
No Money or other consideration is being
solicited or will be accepted, and an indication
of interest made by a prospective purchaser involves
no obligation or commitment of any kind. No sales
will be made or commitments to purchase accepted
until five business days after delivery of a subscription
agreement to the prospective purchaser.
